These Terms and Conditions ("Terms") govern your access to and use of the services provided by Ankvidhi Technologies ("Company", "we", or "us"). Our service is an AI-powered business automation tool offering WhatsApp-based assistants to help businesses handle customer queries (referred to as the "Service"). By creating an account or otherwise using the Service, you (the user, whether an individual or a business entity you represent) agree to be bound by these Terms. Please read them carefully. If you do not agree with any part of these Terms, you should not use the Service. This document is a legal contract between you and Ankvidhi Technologies. It also incorporates our Privacy Policy (provided above) which explains how we handle your personal data. By agreeing to these Terms, you also agree to the Privacy Policy.
Legal Agreement: By accessing or using our Service, you confirm that you can form a binding contract with Ankvidhi Technologies under Indian law, and that you accept these Terms. If you are using the Service on behalf of a company or other legal entity (such as your employer or your own business), you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" will refer to both you as an individual user and the business entity you represent.
Electronic Consent: You agree that by clicking “Sign Up with Google” (or a similar sign-up/login button), or by otherwise indicating acceptance electronically, that you have read and agree to these Terms and our Privacy Policy. You also agree that the use of electronic communications for contract formation, notices, and records satisfies any legal requirements that such communications be in writing.
Updates to Terms: We may update these Terms from time to time. If we make material changes, we will notify you as described in Section 13 (Changes to Terms). Your continued use of the Service after the effective date of an updated version of the Terms constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service.
Location (Indian Users): Our Service is intended for users located in India. By using the Service, you affirm that you are a resident of India or your business is based in India. We make no representations that the Service is appropriate or available for use in other jurisdictions. Users who access the Service from outside India do so at their own risk and are responsible for compliance with local laws.
Age Requirements: We do not impose a strict age restriction for using our Service. Both adults and minors may use the Service. However, if you are under the age of 18 (a minor under Indian law), you should use the Service with the consent and supervision of a parent or legal guardian. By using the Service, you represent that you (or your guardian) consent to be bound by these Terms. If you are a parent or guardian permitting a minor to use the Service, you agree to these Terms on the minor’s behalf and are responsible for the minor’s activity on the Service.
Businesses and Organizations: If you use our Service on behalf of a business, organization, or governmental body, the entity is also bound by these Terms. You should ensure that you have the necessary rights and authorizations from your organization to use the Service and to provide any data (including personal data of others, such as your customers) in connection with the Service.
No Competitors: You may not use the Service if you are a direct competitor of Ankvidhi Technologies, or for the purposes of monitoring the Service’s availability, performance, or functionality, or for any other benchmarking or competitive purposes, without our prior written consent.
Compliance with Laws: You agree to use the Service in compliance with all applicable laws, regulations, and industry guidelines. This includes Indian laws such as the Information Technology Act, 2000 and its rules, and any other relevant regulations. You are responsible for ensuring that your use of the Service (and the content you process through the Service) does not violate any law or rights of any person.
Ankvidhi Technologies provides an AI-powered assistant platform that integrates with WhatsApp to help you automate and manage customer interactions. Key aspects of our Service include:
WhatsApp-based Assistant: We enable you to set up a virtual assistant that can send and receive messages via WhatsApp to interact with your customers. This assistant can handle customer queries, provide information, and perform simple tasks based on your configuration.
AI-Powered Responses: The assistant uses advanced AI models (specifically Google’s Gemini AI) to understand incoming messages and generate relevant responses. This allows for a conversational experience with your customers, where the AI can handle frequently asked questions or direct the conversation appropriately.
Dashboard and Configuration: We may provide you with a web or mobile dashboard to configure your assistant (e.g., setting up default responses, providing information about your products or services, or reviewing conversations). Through this dashboard, you can upload necessary information, such as your business profile, service locations (integrated via Google Maps), and verification documents.
Business Automation Tools: In addition to chat responses, our Service might include other automation features, such as scheduling messages, integrating FAQs, or connecting to other systems (like a CRM or order management) to fetch or record information as part of the chat flow. We will inform you of available features as they are added.
Free Service (For Now): Currently, we offer the Service free of charge. You can use the WhatsApp assistant for your business without any subscription or per-message fees. However, please note Section 7 (Fees and Payments) below regarding potential future changes to our pricing model.
Please note that WhatsApp messaging through our Service requires that you have an active WhatsApp Business account or number. Our Service acts as an intermediary between you and your customers on WhatsApp. We are not affiliated with WhatsApp/Meta, and use of WhatsApp is subject to their terms. We strive to provide a reliable and high-quality Service, but we do not guarantee that every customer query will be answered to your or your customer’s satisfaction. The quality of responses may depend on the information you provide us, the nature of the query, and the current capabilities of our AI.
Google Sign-In: To use our Service, you must create an account. Registration is done via Google Authentication (OAuth). When you choose to "Sign Up with Google" or log in with Google, you allow us to access certain information from your Google account (specifically your name and email address) to establish your account. We do not receive your Google password. Ensure that your Google account is secure, as its security is crucial for protecting access to our Service.
Account Information: You agree to provide true, accurate, current, and complete information about yourself and your business during the registration process and to maintain and promptly update such information to keep it true, accurate, and current. For example, if your email address or business name changes, update your account profile. We are not responsible for any communication that you do not receive due to your failure to keep your account information up-to-date.
Business Verification: We may require you to submit certain documents for verification (such as a GST certificate, business registration, or other identification documents) to unlock or use certain features (for example, if required by WhatsApp’s policies or our own compliance checks). You agree that any documents and information you submit are authentic, correct, and belong to you or the entity you represent. Submitting false or stolen documents is a serious violation of these Terms and could lead to termination of your account and potential legal action.
Account Security: You are responsible for maintaining the confidentiality of your account credentials. Since login is via Google, this means you must ensure your Google account remains secure (use a strong password, enable two-factor authentication, etc.). Do not share access to your Ankvidhi Technologies account or your Google credentials with any unauthorized person. If you suspect any unauthorized use of your account or any security breach, you must immediately notify us at contact@ankvidhi.com. We may ask you to secure your account or suspend activities until we verify the integrity of the account.
Account Usage: You are responsible for all activities that occur under your account. This includes any content or data transmitted, submitted, or received through the Service by you or your customers interacting with your assistant. Ensure that all usage under your account complies with these Terms. We recommend that you monitor your account activity and review conversations periodically (via our dashboard) to ensure everything is in line with your business expectations.
Multiple Accounts: You may not create multiple accounts for the same business or individual with the intent to abuse our Service or circumvent limitations. If you have a legitimate reason for multiple accounts (e.g., separate accounts for different business units), please inform us to avoid misunderstandings. We reserve the right to merge or terminate duplicate accounts that violate this guideline.
Unauthorized Access: You agree not to attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service, through hacking, password mining, or any other illegitimate means. Any such attempts may result in immediate termination of your account and further legal action under applicable law (such as the Information Technology Act, 2000 for unauthorized access).
By using the Service, you agree to the following rules and responsibilities. These obligations are important to ensure the Service remains beneficial and lawful for all users:
Lawful Purposes Only: You will use the Service only for lawful purposes. You shall not use the Service to transmit, distribute, or store any material or content that: (a) violates any applicable law or regulation; (b) is fraudulent, false, or misleading; (c) is defamatory, obscene, indecent, pornographic, libelous, harassing, or threatening; (d) infringes any intellectual property rights or other rights of any third party; or (e) contains viruses, trojans, worms, or any other malicious computer code.
Respect for Privacy: If you use our Service to handle personal data of your customers (for example, their names, contact details, or queries that may contain personal information), you must do so in compliance with applicable privacy laws. This means you should not use the Service to collect or share sensitive personal data of individuals without proper consent. You should also have your own privacy practices in place for your business that explain to your customers how their data is handled via your WhatsApp assistant. You, as the data controller of your customers’ data, are responsible for obtaining any necessary consents from them for processing through our Service.
No Spam or Abuse: You will not use the Service to send unsolicited mass messages (spam) or to harass individuals. The WhatsApp assistant should be used to respond to inquiries or messages initiated by your customers or to send messages they expect (such as updates they signed up for). You must follow any applicable anti-spam laws and WhatsApp policies regarding messaging frequency and user consent (for example, WhatsApp’s rules on sending notifications or promotional messages). Abuse of the messaging system to send bulk unsolicited messages is strictly prohibited and could result in WhatsApp or us blocking your access.
Configuration Responsibility: You are responsible for configuring your AI assistant appropriately. This includes providing accurate information for it to use (such as correct business hours, product details, or FAQs) and reviewing its responses for accuracy. While the AI can generate replies, it benefits from the guidance and data you provide. You should not configure the assistant in a way that would make it respond with content that violates these Terms (for instance, teaching it to give illegal advice or offensive messages).
Monitor AI Output: You acknowledge that AI-generated responses might occasionally be inappropriate or incorrect. You agree to monitor the output of your WhatsApp assistant, especially in the initial deployment, and periodically thereafter. If you notice any response that is inaccurate, offensive, or otherwise problematic, you should take steps to correct it (such as updating the assistant’s information, or notifying us if it’s due to the AI model). You must not willfully use any AI-generated content that you know (or reasonably should know) is incorrect, unlawful, or could be harmful.
Prohibited Behaviors: Without limiting the above, you agree that you will NOT:
Third-Party Rights: You will not use the Service in a manner that violates the rights of third parties, including but not limited to intellectual property rights, privacy rights, and contractual rights. If you incorporate any content in your communications that is subject to third-party copyrights or trademarks (for example, sending your customer a PDF or an image through the chat), you must have the necessary permissions to do so. Ankvidhi Technologies is not responsible for the content you or your users transmit via the Service.
Compliance with WhatsApp Policies: Because the Service operates on WhatsApp’s platform, you must also adhere to WhatsApp’s terms of service and commerce or business policies. This includes not engaging in prohibited activities via WhatsApp (such as sending messages related to illegal products, violating WhatsApp Commerce Policy, etc.). If WhatsApp updates its policies or requests certain actions regarding your usage of their platform (for example, a user blocks your assistant, or WhatsApp flags your number for spam), you should comply promptly. We reserve the right to suspend or advise changes to your Service usage if we learn of any WhatsApp policy violations to protect both you and us from being banned by WhatsApp.
Indemnity for Misuse: You understand that any violation of these user obligations can result in immediate suspension or termination of your account (as detailed in Section 11) and may also expose you to legal consequences. You agree to indemnify and hold Ankvidhi Technologies harmless from any claims, losses, or damages arising out of content you provide or your use of the Service in violation of these rules (see Section 10 on Indemnification for more details).
Our Service relies on certain third-party services and platforms to function effectively, and it’s important to understand these relationships:
WhatsApp Platform: Our Service operates through the WhatsApp messaging platform. You must have a WhatsApp account (preferably WhatsApp Business API or WhatsApp Business App) to use our assistant with your customers. We are not affiliated with or endorsed by WhatsApp or its parent company (Meta/Facebook). Your use of WhatsApp is governed by WhatsApp’s own Terms of Service and Privacy Policy. We have no control over the WhatsApp network, and thus we are not liable for any limitations, downtimes, message delivery failures, or account restrictions imposed by WhatsApp. For example, if WhatsApp servers are down or if WhatsApp decides to limit the rate of messages, that will affect the Service and is beyond our control. You acknowledge that availability of the Service is subject to WhatsApp’s availability.
Google Maps API: We integrate Google Maps to help you set up locations and addresses for your business (e.g., when specifying the regions your assistant can inform customers about). By using this feature, you agree to abide by Google Maps/Google Earth Additional Terms of Service. Google may collect certain information when you use the maps feature (such as location queries). We do not control Google’s services or guarantee their accuracy (for instance, map data accuracy or the results of a location search). Any maps or location data provided via our Service are for general informational purposes for your customers and should not be solely relied on for critical navigation or decision-making.
Google Gemini AI: The AI responses in our Service are generated using Google’s Gemini models, which are state-of-the-art language models provided by Google. While we configure and prompt these models to serve your needs, the underlying AI technology is developed and maintained by Google. By using the Service, you understand and consent that the content of your assistant’s conversations will be sent to and processed by Google’s AI systems. We have a usage agreement with Google for this AI service, and Google has its own terms governing the use of their AI. Google may use the input it receives to improve its models, but such use is governed by Google’s policies. We do not have direct control over how the AI interprets a query or formulates a response; we facilitate the interaction and provide context.
No Guarantee of AI Output: While the AI is highly advanced, we do not guarantee that the responses will always be accurate, appropriate, or helpful. You agree that you will use the AI’s outputs with discretion and will not rely on them for situations where incorrect information could result in significant harm or loss without verifying through other means.
Third-Party Integrations: Over time, we may offer optional integrations with other services (for example, connecting a CRM system, a calendar service, or an e-commerce platform to your assistant). Any such integration may have additional terms or require you to have an account with that third-party service. We will not activate any integration without your consent. Once activated, you should be aware that data may flow between our Service and the third-party service as per the integration’s design. We are not responsible for any third-party services or data they provide; you should review the respective terms of those services.
No Warranty for Third Parties: We do not warrant or support third-party services (like WhatsApp, Google Maps, Google AI, or any future integrations). If those services fail, change, or behave unexpectedly, we will do our best to adapt and support you, but we are not liable for their performance. For example, if Google’s AI service goes down or returns an inappropriate response, we will try to handle it (like fall back to a default message or filter content), but we disclaim liability for the content provided by Google’s AI or any outage it causes.
Attribution: Where required by our agreements with third parties, we will provide appropriate attribution. For instance, you might see a note like "Powered by Google" or similar in our interface. You agree not to remove or obscure such notices if they are provided. They are there to give credit and comply with licensing requirements.
In summary, while our Service brings together these third-party technologies to deliver a seamless experience, each has its own terms and limitations. Your use of our Service means you also agree to and understand the relevant third-party terms (for example, Google’s Terms of Service and Privacy Policy, and WhatsApp’s Terms of Service). We encourage you to familiarize yourself with those if you have questions. We can provide links or copies of those terms upon request.
Free Service at Present: Currently, Ankvidhi Technologies is offering the Service free of charge. There are no setup fees, subscription costs, or per-message charges for using the WhatsApp assistant at this time. We want to provide value to our users and gather feedback as we continue to improve the platform. You may use the Service without paying any fees, other than any data or messaging costs charged by your internet or telecom provider for using WhatsApp (those are external costs not charged by us).
Planned Future Billing: We reserve the right to introduce fees for certain features or for the Service as a whole in the future. For example, we may implement a usage-based billing model where you pay a small fee per message sent or received via the assistant, or offer tiered subscription plans for different volumes of usage or advanced features. Details of any such pricing will be communicated to you in advance.
Notice of Changes: If we decide to start charging for the Service, we will provide you with reasonable advance notice. We may notify you via email, via an in-app notification, and/or by posting an update on our website or dashboard. The notice will include the details of the new fees, the billing cycle, and how the charges will be calculated. We will also update these Terms (and possibly add a separate Billing Policy) to reflect the changes. You will have the opportunity to review the updated terms and pricing.
Consent to Charges: We will only charge you if you agree to the new fees. Continuing to use the Service after the new fees become effective will be taken as your agreement to pay those fees. If you do not agree to the introduction of fees, you have the option to stop using the Service before any charges are incurred. We may provide a mechanism for you to explicitly accept the charges (for example, clicking an "Accept new pricing" button) depending on the situation.
Payment Method: If and when fees are introduced, you will be required to provide a valid payment method (such as a credit card, UPI, or other payment details) to pay for the Service. We will use a secure third-party payment processor to handle your payment information; we will not store your full payment card details on our own servers except possibly a token/reference via the payment gateway. You agree to pay any charges incurred for your use of the Service, including any applicable taxes (such as GST).
Billing Cycle: The billing method (per message, monthly subscription, etc.) will be clearly explained in the notice. For usage-based fees, we might bill monthly in arrears (e.g., charging you at the end of the month for the total number of messages sent that month). For subscriptions, we might charge in advance. All of these details will be communicated.
Trial or Free Tier: We may choose to continue offering a free tier or trial period even after introducing paid plans. If so, the terms of the free tier or trial (such as limitations on number of messages or duration of trial) will be specified. If you only use the service within the limits of a free tier, you might not be charged anything.
Late Payment and Default: If fees apply and your payment method fails or your account becomes past due, we reserve the right to suspend or downgrade your Service until the balance is paid. We will attempt to notify you of payment issues to give you a chance to rectify them. Continued non-payment may result in termination of your account. You will be responsible for any reasonable costs we incur in collections of overdue amounts.
Refunds: If we introduce fees, our refund policy (if any) will be outlined at that time. For instance, usage-based fees might generally be non-refundable (since you pay for what you used), whereas a prepaid subscription might be refundable on a pro-rata basis if you cancel early, subject to certain conditions. We will abide by any applicable consumer protection laws regarding refunds.
Promotional Credits: We might offer promotional credits or discounts occasionally (for example, an offer like "first 1000 messages free" even after starting billing). Such promotions will have their own terms and will be for a limited time. They have no cash value and are not transferable.
Taxes: All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or government levies associated with your use of the Service (such as Goods and Services Tax (GST) in India). If we are required to collect such taxes, we will add them to the charges and remit to the authorities as required. We will provide invoices or receipts with the tax details if needed.
Invoice Discrepancies: If you believe there has been an error in billing, you must contact us within 30 days of the charge date. We will investigate and, if a mistake is found on our side, correct it (and issue a refund or credit if necessary).
Note: We emphasize that at present you are not being charged. This section is to inform you of possible future scenarios and your rights. We value our users, and any changes to our pricing will be made transparently and fairly. Should we move to a paid model, we will make sure the terms are clear and that you have consented to any payments.
Ownership by Company: The Service, including all software, code, algorithms, user interfaces, content provided by us, and any associated intellectual property, is the property of Ankvidhi Technologies or its licensors. This includes the design, text, graphics, logos, and trademarks on our website or app (such as the "Ankvidhi" name and logo), as well as the underlying technology that powers the AI assistant. All rights, title, and interest in and to the Service remain with us. These are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You do not acquire any ownership rights by using the Service or by copying or downloading any material from the Service.
Your Content: In the course of using the Service, you and your customers may provide content, such as messages, images, documentation, and other material (collectively, "User Content"). We do not claim ownership of any User Content that you or your customers provide. You retain all rights (including intellectual property rights) you have in the content you submit to the Service. For example, you own your customer chat logs, the business information you input, and any media or documents you upload.
License to Company: You grant Ankvidhi Technologies a non-exclusive, worldwide, royalty-free license to use, reproduce, process, transmit, and display your User Content only for the following purposes: (a) as necessary to provide the Service to you and your customers (for instance, processing the text of a customer query through our AI, storing chat histories for you to review, or displaying your business info to customers who ask for it); (b) to improve and optimize the Service (for example, analyzing common questions to improve response templates, but in such cases we will use de-identified or aggregated information whenever feasible); and (c) to enforce our rights under these Terms and comply with law (for example, if illegal content is reported, we might review relevant User Content). This license is only as broad as needed for those purposes and is not for any commercial use by us unrelated to providing the Service. We do not have the right to sell or publicly publish your private User Content (like your chat logs) without your explicit permission.
AI-Generated Content: Content generated by the AI (responses to customer queries, summaries, etc.) may not be wholly original (since it is produced by an AI trained on vast data) and thus might inadvertently resemble or include fragments of third-party content. We do not claim to own the AI-generated messages delivered to you or your customers. To the extent any AI-generated response can be considered an original work, we transfer any applicable rights we might have to you, the user of the Service, to use within your business. However, caution: Because AI outputs are generated algorithmically, we cannot guarantee that they won't contain snippets that could be similar to existing copyrighted text or other IP. It is your responsibility to review important AI-generated content. We advise against using AI outputs verbatim in published materials without review.
Feedback: We appreciate feedback, comments, and suggestions for improvements to our Service ("Feedback"). If you choose to provide Feedback, you agree that we are free to use it (or not use it) without any restriction or compensation to you. By submitting Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback into the Service or our other products and services. This helps us improve. (For example, if you suggest a new feature or report a bug, we can use your Feedback to enhance our platform without owing you royalties.)
Third-Party IP in the Service: Some components used in the Service may be subject to third-party licenses. For instance, the Google Gemini AI is proprietary to Google, and our use of it is under license from Google; similarly, any open-source libraries we use are under their respective licenses. We ensure that our use of such IP is lawful. Your use of those features via our Service is covered by our license, so you generally don’t need to get separate permission, but you also receive no separate rights to those third-party IP beyond what is necessary for using the Service.
Trademark Usage: You may not use the Ankvidhi Technologies name, logo, or other trademarks (whether registered or unregistered) without our prior written permission, except as necessary to identify our Service (for example, you may say "Our WhatsApp assistant was built using Ankvidhi Technologies’ platform," which is a factual statement). Any permitted use of our trademarks must be in accordance with any guidelines we provide. Conversely, we may use your business name or logo in an aggregated list of users or marketing materials with your consent (for instance, listing you as a client on our website), and such consent shall not be unreasonably withheld.
Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Ankvidhi Technologies. This means if we haven’t specifically given you a right under these Terms, it remains our right. You agree not to take any action that jeopardizes our or our licensors’ intellectual property rights.
Your privacy is very important to us. Our Privacy Policy (which is incorporated into these Terms by reference) explains how we collect, use, and share your personal data when you use the Service. By using the Service, you agree to the practices described in the Privacy Policy. Key points include:
By agreeing to these Terms, you also consent to our collection and use of your data as outlined in the Privacy Policy. If you do not agree to the Privacy Policy, you must not use the Service. If you are providing us with personal data of other individuals (for example, if your customers’ names or contact information are processed through the Service), you confirm that you have the authority or consent to provide that data to us for the intended use. You also agree to comply with any obligations you might have under data protection laws regarding such data (such as providing proper notice to your customers, etc.). In the event of any conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy will prevail. If you have any questions about how we handle data or if you need to report a privacy issue, please refer to the Privacy Policy or contact us at privacy@ankvidhi.com.
Use at Your Own Risk: The Service is provided on an "as is" and "as available" basis. While we strive to offer a high-quality and reliable service, we make no warranty or representation that the Service will meet your requirements or expectations, that it will always be available, uninterrupted, timely, secure, or error-free, or that the information or results obtained from the Service (including AI-generated responses) will be accurate or reliable.
No Guaranteed Outcomes: You understand that the AI-powered responses and automation are tools to assist you, but they are not guaranteed to handle every situation perfectly. The success of your interactions with customers through our Service can depend on many factors outside our control, including the clarity of customer queries, the information you have configured, and limitations of current AI technology. We do not warrant that using the Service will increase your business performance, customer satisfaction, or any other specific metrics.
AI Limitations: We explicitly disclaim any responsibility for the content of the AI-generated messages. The AI tries to provide helpful and contextually appropriate answers, but it might occasionally produce content that is incorrect, incomplete, or that you may find inappropriate. You should review important communications as needed and not rely solely on the AI for anything that could result in significant liability or loss. Ankvidhi Technologies is not liable for any actions you take in reliance on the AI’s responses. For instance, if the AI gives a customer wrong information about your product stock availability and you incur a loss, we are not responsible for that error (though we’d work with you to improve future accuracy).
System Availability: We do not guarantee that the Service will be available 100% of the time. Downtime may occur for maintenance, upgrades, network failures, issues with third-party services (like WhatsApp or Google), or other reasons. We will try to inform you in advance of any planned maintenance downtime. However, in emergencies or unforeseen outages, there may be interruption without notice. We disclaim any warranty that access to the Service will be continuous or error-free.
Quality of Information: Any information or advice obtained through the Service, whether from automated AI responses, documentation on our site, or from support staff, is for general informational purposes only. You should verify information that you put to critical use. We do not warrant any advice or information given as authoritative for legal, financial, or other professional decisions. For example, if your assistant uses our AI to provide a customer with advice (like a legal or medical suggestion, which ideally it shouldn’t without expert input), that advice is not guaranteed to be correct and is not endorsed by us.
Third-Party Components: We make no warranty regarding third-party services or components integrated into the Service. We cannot guarantee the performance or reliability of WhatsApp, Google’s services, or any other external system. Any issues originating from third-party platforms are outside the scope of our warranties.

You assume all risk for any damage to your computer system, mobile device, or loss of data that results from using the Service (for example, if a bug in our code inadvertently corrupts some data — though we certainly try to prevent and quickly fix such issues).
Legal Compliance and Appropriateness: We do not warrant that the content you or your customers generate, store, or transmit via the Service will be compliant with laws or that it will meet any regulatory standards that might apply to your industry. It is your responsibility to ensure that use of the Service aligns with any industry-specific regulations (such as data retention rules for financial institutions, or confidentiality requirements for healthcare data, etc.). If you are in a regulated industry, you should evaluate whether the Service is suitable for use under those regulations. We are happy to provide information about our security practices to assist in such evaluation.
Beta Features: If we release any beta or trial features, those are provided "as is" without any warranties whatsoever, explicitly or implicitly. Beta features are in testing and may be modified or discontinued at our sole discretion.

This includes, but is not limited to, damages for lost profits, lost revenue, lost business opportunities, goodwill, data loss, or other intangible losses, even if we have been advised of the possibility of such damages. Both you and Ankvidhi Technologies have the right to terminate this agreement under certain circumstances, as detailed below.
By You (Voluntary Termination): You may stop using the Service at any time. If you wish to delete your account entirely, you can do so by contacting us at contact@ankvidhi.com or through any account deletion mechanism we provide. Termination of your account will be effective once we process your request and confirm deletion. Keep in mind that, as per our Privacy Policy, certain data might be retained for a period of time in backups or as required by law, but it will no longer be accessible to you or actively used by us.
By Us (Suspension or Termination for Cause): We reserve the right to suspend or terminate your access to the Service immediately, with or without notice, if we determine that:
By Us (Termination for Inactivity or Convenience): If your account is completely inactive for an extended period (say, no logins or no messages sent for 12 months), and you are on a free plan, we reserve the right to deactivate or remove your account to free up resources. We will attempt to warn you via email before doing so. Additionally, we may terminate the agreement with 30 days’ notice to you for convenience (for example, if we choose to end the provision of the free service or if we have reasons to end our relationship with you even if you did nothing wrong). We will provide notice in such cases.
Effect of Termination: Upon termination of your account, whether by you or us, your right to use the Service will immediately cease. You should cease all use of the Service and, if applicable, uninstall any software or applications through which you access the Service. We will close your account and you will lose access to any data stored in the Service, unless otherwise provided. We strongly recommend that you export or download any important data (like chat transcripts or configuration settings) before terminating the account or in advance of a known termination date. We are not liable for any data loss due to termination.
Customer Communications Post-Termination: If your account is terminated, the WhatsApp assistant we provided will stop responding to your customers. You should inform your customers through other means if necessary that the service is no longer available. We may display an automated message to anyone who tries to contact your assistant after termination (e.g., “This service is no longer active.”), but we are not obligated to do so.
Survival: Certain provisions of these Terms will survive termination. Any provision that by its nature should survive, will survive termination of this agreement. This includes, without limitation, ownership provisions (Section 8), warranty disclaimers (Section 10), limitation of liability (Section 11), indemnity (Section 12), governing law and dispute resolution (Section 14), and any licenses you granted to us (like Feedback or content use rights in Section 8) to the extent necessary to exercise rights that arose during the term.
No Liability for Termination: Neither party will be liable to the other for any damages resulting solely from terminating this agreement according to its terms. If your account is terminated by us due to a breach of these Terms, we shall not be responsible for any loss you suffer (for example, loss of prospective profits or customers) due to the termination. If we terminate for convenience, our liability will likewise be limited as stated in the Terms generally.
Termination of this agreement or suspension of Service shall be without prejudice to any rights or obligations that accrued before the termination. If you had any outstanding payment obligations at the time of termination, you will still be liable to pay those. Likewise, if we owed you some service or data portability, we would attempt to fulfill that (unless we terminated for a serious breach by you, in which case we might deny any ongoing services).
We may modify or update these Terms from time to time to reflect changes in our Service, legal requirements, or for other reasons. When we make changes, we will do the following:
Your use of the Service is subject to the Terms in effect at the time of use. It is your responsibility to ensure you understand the Terms that apply at any given time. By accepting these Terms, you agree that we may change the Terms and that the above process is acceptable for providing notice of changes.
Governing Law: These Terms and any dispute arising out of or in connection with these Terms or the Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. This means that the laws of India will apply to any issues or claims relating to your use of the Service, even if you use the Service from outside India (to the extent you are permitted to).
Jurisdiction: You agree that, subject to the arbitration clause below (if applicable), the courts located in the city of Bengaluru, Karnataka, India, shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these Terms or the Service. You waive any objections to the jurisdiction of these courts on grounds of venue or inconvenient forum, and you agree not to bring any such dispute in any other jurisdiction. (If you are a consumer, and Indian consumer laws mandate a different jurisdiction for any specific claim, those laws would take precedence for that claim.)
Arbitration (If We Opt for It): At our sole discretion, we may require you to submit any dispute, claim, or controversy arising out of or relating to your use of the Service or these Terms to final and binding arbitration under the Arbitration and Conciliation Act, 1996. If we elect arbitration:
Exceptions to Arbitration: We both agree that nothing in these Terms will be deemed to waive, preclude, or otherwise limit our rights to (a) pursue enforcement actions through applicable government authorities where such actions are available; (b) seek injunctive relief in a court of law to prevent actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights or breaches of confidentiality; or (c) file suit in a court of law to address claims of non-arbitrable nature (if any).
Legal Relief: In addition to any other remedy available, we reserve the right to seek injunctive or other equitable relief to protect our intellectual property and confidential or proprietary information (for example, to stop you from misusing our Service in violation of the license terms).
Time Limit to Raise Disputes: To the extent permitted by law, any dispute or claim you might have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the event giving rise to the claim. If not, you agree that such claim is permanently barred (this does not apply to consumers in jurisdictions that prohibit such time limits).
By agreeing to these Terms, you acknowledge that you are waiving certain rights to participate in a lawsuit (for instance, a jury trial) if arbitration is invoked.
Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or rules that we post and reference herein) constitute the entire agreement between you and Ankvidhi Technologies regarding the Service. They supersede any prior agreements or communications, whether written or oral, about the subject matter. Any additional or different terms you propose (for example, in a purchase order or an email) are rejected unless expressly agreed to in writing by us.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court or tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. For example, if a court finds the limitation of liability (Section 11) to be too broad, the court may enforce it to a lesser extent that it deems reasonable, and the rest of the Terms would remain valid.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term. For instance, if we don’t immediately act on a violation by you, it doesn’t mean we are waiving our rights to enforce the Terms in the future or for subsequent violations.
Assignment: You may not assign or transfer these Terms, or any rights or obligations herein, without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
Relationship of Parties: You and Ankvidhi Technologies are independent contracting parties. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between us. You must not portray yourself as our representative or agent. Neither party has the authority to make any commitments on behalf of the other.
Force Majeure: We will not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure is due to unforeseen events beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, riots, embargoes, strikes, pandemics, legal restrictions, or utility failures. In such a case, we will do our best to resume Service as soon as possible.
Communications: We may communicate with you regarding the Service by electronic communications, including (a) sending email to the email address you provided, or (b) posting notices or messages on the Service dashboard or website. You agree that all such communications (including notices, agreements, and disclosures) satisfy any legal requirement that such communications be in writing. It is your responsibility to keep your email address updated and to regularly check the Service for notices.
Grievance Officer (Terms): In compliance with India’s IT Act and rules, if you have any grievances related to the Service or these Terms (such as concerns regarding content on the platform, usage issues, etc.), you may contact our Grievance Officer at contact@ankvidhi.com or via the mailing address provided in the Privacy Policy. We will acknowledge and address complaints in a timely manner (generally within 15 days for content removal requests as per intermediary guidelines, if applicable, and 30 days for other issues).

Language: These Terms are made available in English. If we provide a translation in another language, it is for convenience only. In the event of any conflict between the English version and a translated version, the English version will prevail.
